By accessing, browsing, or using ContentForgeAI ("the Service," "Platform," "we," "us," or "our"), you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), including any additional terms, policies, and guidelines referenced herein.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

ContentForgeAI is an AI-powered content creation and automation platform that enables users to generate, edit, repurpose, and distribute digital content including but not limited to: text, images, videos, audio, social media posts, blog articles, video scripts, AI-generated avatars, and other multimedia content.

The Service utilizes artificial intelligence, machine learning, and third-party APIs to process and generate content. The nature of AI-generated content means results may vary and are not guaranteed to meet specific expectations.

3. User Accounts and Eligibility

• You must be at least 18 years of age to use this Service
• You must provide accurate, current, and complete registration information
• You are solely responsible for maintaining the confidentiality of your account credentials
• You are fully responsible for all activities that occur under your account
• You must immediately notify us of any unauthorized use of your account
• We reserve the right to suspend or terminate accounts at our sole discretion

4. Content Rights, Responsibilities, and Third-Party Permissions

4.1 Your Content and Uploads

You retain ownership of original content you create. However, by uploading, submitting, or inputting any content ("User Content") to the Service, you grant ContentForgeAI a non-exclusive, worldwide, royalty-free license to use, process, store, and transform such content solely for the purpose of providing the Service.

4.2 Third-Party Content and Model Releases

YOU ARE SOLELY RESPONSIBLE for ensuring you have all necessary rights, permissions, licenses, consents, and releases required to use any content you upload or process through the Service, including but not limited to:

• Model Releases: Written consent from any identifiable individuals appearing in videos, images, or audio content
• Talent/Performer Releases: Agreements from actors, voice talent, presenters, or any person whose likeness, voice, or performance is captured
• Location Releases: Permission to film or photograph at private properties
• Music and Audio Licenses: Proper licensing for any music, sound effects, or audio content
• Copyright Clearances: Rights to use any copyrighted materials, trademarks, or intellectual property
• Publicity Rights: Consent to use names, likenesses, voices, or personas of individuals

WARNING: ContentForgeAI does NOT verify that you have obtained necessary permissions for content you upload. You assume ALL legal responsibility and liability for ensuring proper consents, releases, and licenses are in place. Failure to obtain proper permissions may result in legal action against you, not ContentForgeAI.

4.3 AI-Generated Content Ownership

Content generated by AI through our Service may be subject to limitations on ownership and copyright protection under applicable law. The legal status of AI-generated content ownership varies by jurisdiction and is evolving. You acknowledge that:

• AI-generated content may not be eligible for copyright protection in some jurisdictions
• Similar content may be generated for other users
• We make no guarantees regarding exclusivity of AI-generated outputs

5. Acceptable Use Policy

You agree NOT to use the Service to:

• Generate, upload, or distribute illegal, harmful, threatening, abusive, harassing, defamatory, or obscene content
• Create deepfakes, manipulated media, or synthetic content of real persons without their explicit written consent
• Infringe upon intellectual property rights, privacy rights, or publicity rights of any third party
• Generate content depicting minors in any inappropriate context
• Create or spread misinformation, disinformation, or deceptive content
• Impersonate any person or entity without authorization
• Attempt to bypass, circumvent, or disable any security features
• Use the Service for any illegal purpose or in violation of any laws
• Resell, sublicense, or redistribute the Service without authorization
• Use automated systems to abuse the Service or extract data

6. Subscription, Payments, and Credits

Billing: Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated herein.

Credits: Usage credits are subject to expiration as specified in your plan. Unused credits are forfeited upon cancellation or downgrade and are non-transferable.

Price Changes: We reserve the right to modify pricing with 30 days' notice. Continued use constitutes acceptance.

Refunds: Refunds are provided solely at our discretion. Processing fees and used credits are non-refundable.

Failed Payments: We may suspend access for failed payments until resolved.

7. AI-Generated Content Disclaimer and Limitations

YOU ASSUME ALL RISK associated with the use, publication, distribution, or commercialization of AI-generated content. ContentForgeAI disclaims all liability for any claims arising from AI-generated content.

8. Service Availability, Reliability, and Data

8.1 No Uptime Guarantee

While we strive to maintain reliable service, WE DO NOT GUARANTEEuninterrupted, secure, or error-free operation. The Service may be subject to:

• Scheduled and unscheduled maintenance
• Technical failures, bugs, or errors
• Third-party service outages (AI providers, hosting, payment processors)
• Force majeure events

8.2 Data Loss and Content Corruption

• Content may be lost, corrupted, or become inaccessible due to technical failures, data corruption, system errors, security breaches, or other causes
• We do not guarantee data preservation or recovery of any content stored on or processed through the Service
• You are solely responsible for maintaining independent backups of all content you value
• Generated content may not be reproducible if lost, as AI outputs can vary
• We may delete inactive account data after periods of inactivity or upon account termination

CONTENTFORGEAI SHALL NOT BE LIABLE FOR ANY LOSS OF DATA, CONTENT, OR MATERIALS REGARDLESS OF CAUSE.

8.3 Content Access

Access to your content and the Service may be interrupted, suspended, or terminated at any time. We reserve the right to modify, discontinue, or terminate features, functionality, or the entire Service without prior notice.

11. Indemnification

You agree to indemnify, defend, and hold harmless ContentForgeAI, its owners (Jimmy Easter and Kilee Johnson), officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Service or any content you create, upload, or distribute
• Your violation of these Terms or any applicable law
• Your infringement of any third-party rights, including intellectual property, privacy, or publicity rights
• Claims by individuals appearing in content you uploaded without proper releases or consents
• Any third-party claims arising from your use or distribution of AI-generated content
• Your failure to obtain necessary permissions, licenses, or releases for content
• Any misrepresentation made by you

12. Third-Party Services and APIs

The Service integrates with third-party services including but not limited to OpenAI, Anthropic, HeyGen, Shotstack, Stripe, and cloud hosting providers. We are not responsible for:

• The availability, accuracy, or reliability of third-party services
• Changes to third-party APIs that affect functionality
• Third-party terms of service or privacy practices
• Content moderation or filtering applied by third-party AI providers

13. Copyright and DMCA Policy

We respect intellectual property rights and expect users to do the same. If you believe content on our Service infringes your copyright, please submit a DMCA takedown notice to our designated agent at contentforgeai@outlook.com with the following information:

• Identification of the copyrighted work claimed to be infringed
• Identification of the infringing material and its location
• Your contact information
• A statement of good faith belief that the use is unauthorized
• A statement under penalty of perjury that the information is accurate
• Your physical or electronic signature

14. Termination

We may suspend or terminate your account and access to the Service at any time, with or without cause, with or without notice. Upon termination:

• Your right to use the Service immediately ceases
• We may delete your account data and content without liability
• Unused credits are forfeited and non-refundable
• Provisions that should survive termination will remain in effect (including Sections 4, 7-11, 14-17)

15. Dispute Resolution and Arbitration

Informal Resolution: Before filing any claim, you agree to attempt to resolve disputes informally by contacting us at contentforgeai@outlook.com.

Binding Arbitration: Any dispute not resolved informally shall be resolved by binding arbitration in Benton County, Arkansas, in accordance with the rules of the American Arbitration Association.

Class Action Waiver: YOU AGREE TO RESOLVE DISPUTES ONLY ON AN INDIVIDUAL BASIS AND WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS OR COLLECTIVE PROCEEDINGS.

Small Claims: Either party may bring qualifying claims in small claims court.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Arkansas, United States, without regard to conflict of law principles. You consent to the exclusive jurisdiction of state and federal courts located in Benton County, Arkansas for any disputes not subject to arbitration.

17. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and any additional terms you agree to, constitute the entire agreement between you and ContentForgeAI regarding the Service.

Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms without our consent. We may assign these Terms without restriction.

Modifications: We reserve the right to modify these Terms at any time. Changes will be effective upon posting. Your continued use after changes constitutes acceptance.
